Nicole is a pragmatic and analytical legal professional with over 5 years’ in-house experience in the Oil & Gas sector.
She started her career at OiLSERV (Paralegal) focusing on upstream oil and gas in the Middle East and North Africa region. Her experience at Montfort (Trainee Lawyer) covers a range of legal areas including Corporate (Mergers and Acquisitions), Commercial, Corporate Advisory and Governance and, Risk and Compliance (CDD, AML, ABC and, Sanctions). Nicole is presently an Adjunct Lecturer in Law at De Montfort University, Dubai.
Selected representative roles and matters:
- Advising on company restructuring matters across multiple jurisdictions such as Luxembourg, India, Turkey, Switzerland, Singapore, and UAE (onshore and offshore).
- Establishing international and regional subsidiaries and branch offices.
- Conducting data room reviews, SPV incorporations, and license amendments in a consortium involving a privately held entity and the Private Office concerning a UAE refinery acquisition.
- Advising on procurement contracts for upstream assets related to a mega-project in Iraq.
- Facilitating the transfer of assets and reviewing term sheets to comply with B-BBEE requirements for the acquisition of a South African oil import and distribution company.
- Developing ethics and compliance training manuals.
- Providing advice on anti-money laundering protocols, sanctions compliance, and anti-corruption measures for individuals, companies, and vessels.
